Terms & Conditions

These Terms and Conditions (“Terms”) govern the provision of services by This Solid Ground Ltd (“we”, “us”, “our”)
to our clients (“you”, “your”). By engaging our services, you agree to these Terms.

 

1. Company Details
This Solid Ground Ltd is registered in England and Wales (Company Number: 10157937).
Registered office: 52 Princess Street, Manchester, M1 6JX.

 

2. Services
We provide marketing, placemaking, and related services as agreed with you in proposals or scopes of work.
Any additional services or scope changes must be agreed in writing and may incur additional fees.

 

3. Fees and Payment
Fees are set out in your proposal or scope of works and exclude VAT unless otherwise stated.
Invoices are payable within the agreed payment period (7, 14, or 30 days).
Where third-party costs exceed £500, you may be required to pay those suppliers directly unless otherwise agreed.

 

4. Late Payment and Debt Recovery
Reminders:
We will send payment reminders if invoices are overdue:
First reminder after the due date
Second reminder 14 days later
Final reminder 30 days thereafter
Statutory interest: We reserve the right to charge statutory interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998, plus fixed compensation (£40, £70 or £100 depending on the debt amount).
Debt recovery: If payment remains outstanding three months after the original due date, we may:
Engage debt recovery agents;
Commence legal proceedings and apply for a County Court Judgment (CCJ);
Recover reasonable legal and recovery costs.
Suspension of services: We may suspend work until overdue sums are paid in full.

 

5. Client Responsibilities
You agree to:
Provide timely information, approvals, and materials needed to deliver our services.
Ensure any required third-party approvals (e.g., landlords, local authorities) are obtained.
Pay invoices according to the agreed terms.

 

6. Intellectual Property

Ownership of Deliverables
Upon full payment of all fees due under these Terms, we assign to you all intellectual property rights in the final deliverables created specifically for you under this agreement (for example, final brand identities, marketing collateral, or campaign materials).
This assignment does not include any rights in our underlying methods, design frameworks, templates, or un used creative concepts, which remain our property.

 

Licence for Portfolio Use
We retain the right to reference and display the final deliverables (including your name and project details) in our own portfolio, website, and marketing materials for the purposes of showcasing our work, unless you specifically request otherwise in writing.

 

Third Party Materials
Where third party content (e.g., stock images, fonts, software) is incorporated into the deliverables, you will receive a licence to use such content subject to the third party licence terms. Ownership of third party content remains with the original rights holder.

 

7. Confidentiality
Both parties must keep confidential any non-public information obtained during the engagement, except where disclosure is required by law.

 

8. Data Protection
We handle personal data in accordance with the UK GDPR and Data Protection Act 2018. For more information, please review our Privacy Policy.

 

9. Liability
Nothing in these Terms limits our liability for death, personal injury, or fraud.
We are not liable for indirect or consequential losses, including loss of profit.
Our total liability is limited to the total fees paid for services in the three months preceding any claim.

 

10. Termination
Either party may terminate with 90 days’ written notice.
We may terminate immediately if you fail to pay amounts due or materially breach these Terms.
Upon termination, you must pay for all work delivered up to the termination date.

 

11. Force Majeure
Neither party will be liable for failure to perform obligations due to events beyond reasonable control, such as natural disasters, strikes, or government restrictions.

 

12. Governing Law
These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.

 

13. Changes to These Terms
We may update these Terms occasionally. The latest version will always be available on this page.
